Bylaws

Article 1 Principle

Section 1.
The organization was established under the name of Taiwan Oncology Society, abbreviated to "TOS".
Section 2.
Taiwan Oncology Society aims to establish a network of cancer specialists, support the development of cancer research and facilitate cancer-related public engagement activities in Taiwan.
Section 3.
Taiwan Oncology Society is located in Taipei, Taiwan.
Section 4.
It is eligible for forming branches of Taiwan Oncology Society and each branch shall draw up and maintain its own bylaws.

Article 2 Mission

Section 5.
The missions of Taiwan Oncology Society are,
  1. To work with diverse communities to promote cancer research in Taiwan
  2. To hold cancer-related lectures, seminars and workshops
  3. To publish cancer-related articles and journals
  4. To provide academic and social connections between Taiwan and other countries
  5. To engage in international cancer-related public activities
  6. To support development of cancer-related research

Article 3 Classification of Members

Section 6.
The bylaws provide for three classes of membership in Taiwan Oncology Society
  1. Individual
    1. Physician specialists who possess a doctor of medicine (MD) degree, or a recognized international equivalent, or a doctor of dental surgery (DDS) degree, or a doctor of Chinese medicine degree with medical credits and agree to support to the objects of Taiwan Oncology Society. The individual shall be recommended for membership by two (2) current members and application of membership shall be submitted to the Board of Directors for approval.
    2. Non-physicians specialists who possess a bachelor's degree are serving in cancer research for two (2) years and have publications in cancer-related research. The individual shall be recommended for membership by two (2) current members and application of membership shall be submitted to the Board of Directors for approval.
  2. Group
    Group membership is open to all organizations that are dedicated to cancer research and cancer prevention. Group membership shall be recommended for membership by two (2) Directors, or two (2) Supervisors, or one (1) Director and one (1) Supervisor. Membership application shall be submitted to the Board of Directors for approval.
  3. Sponsorship
    Sponsorship defines a sponsor as an individual or organization that applies for a grant that is eligible to apply directly to Taiwan Oncology Society. The sponsorship shall be recommended for membership by two (2) Directors, or two (2) Supervisors, or one (1) Director and one (1) Supervisor. Membership application shall be submitted to the Board of Directors for approval.
Section 7.
Member benefits and privileges
  1. Individual
    1. Shall have the right to vote, elect, stand for election, recall and attend all activities held by the society.
    2. Shall comply with the bylaws of Taiwan Oncology Society, make policy for carrying into execution, accept a designate task from the society and pay an annual membership fee.
  2. Group and Sponsorship
    1. Shall have no right to vote, elect, stand for election and recall, but shall have the right to attend all activities held by the society.
    2. Shall comply with the bylaws of Taiwan Oncology Society and pay an annual membership fee.
    3. Any member who has reached the age of sixty-five (65) and has been a member for a total of twenty (20) consecutive years shall be a senior member. Senior members shall be exempt from further payment of membership fees and have the same privileges as other members.

Article 4 Organization Structure and Officers

Section 8.
The role of members in annual member meetings shall have the right
  1. To make and amend the bylaws of Taiwan Oncology Society
  2. To vote on election of Directors and Supervisors
  3. To make proposals, preliminary budgets, budgets and hold general meetings
  4. To hold a journal club and seminars
Section 9.
Election rules for Directors and Supervisors
  1. Members shall have the right to vote on election of Directors and Supervisors by secret ballots in annual member meetings.
  2. The Board of Directors consists of twenty-five (25) Directors and five (5) alternate directors. The Board of Supervisors consists of seven (7) Supervisors and one (1) alternate supervisor. Directors, alternate directors, supervisors and alternate supervisor shall be elected by individual members. Directors and Supervisors shall serve without remuneration.
  3. Seven (7) executive directors shall be elected from among twenty-five (25) Directors. The president shall be elected by the Board of Directors from among seven (7) executive directors. The president shall serve a two-year term and is permitted to hold the same office in succession.
  4. One (1) executive supervisor shall be elected from among seven (7) Supervisors. The supervisor shall serve a two-year term and is permitted to hold the same office in succession.
  5. If there is no eligible executive directors, the Board of Directors may recommend a special election to elect a successor to fill the vacancy of executive director. If there are no eligible executive supervisors, the Board of Supervisors may recommend a special election to elect a successor to fill the vacancy of executive supervisor. Vacancies on Directors shall be filled by alternate directors. Vacancies on Supervisors shall be filled by alternative supervisor.
Section 10.
The Secretariat of the Board of Directors consists of one (1) secretary general, one (1) secretary and staff. The secretary general shall be nominated by the President and approved by the Board of Directors.
Section 11.
The Board of Directors shall have power to establish committees as needed and committees should have their own bylaws. A Committee Chair shall be appointed by the President from among the members and approved by the Board of Directors. Committee members shall be appointed by the Committee Chair from among the members and approved by the Board of Directors.
Section 12.
Board of Directors
  1. Shall be determination of policy and overall direction of the affairs of the society
  2. Shall hold annual member meetings
  3. Shall be responsible for committee member and staff recruitment
  4. Shall propose preliminary budgets and budgets
  5. Shall be responsible for each applicant of membership approval
Section 13.
Board of Supervisors
  1. Shall oversee the society’s operations
  2. Shall review preliminary budgets and budgets
  3. Shall have general supervision of the society affairs

Article 5 Member Meetings

Section 14.
There are two types of member meetings : Annual Member Meetings and Extraordinary Member Meetings. The member meetings shall be called by the President and the notice of the meetings shall be mailed to the members at least fifteen (15) days prior to the date of the meetings. Taiwan Oncology Society shall hold an annual member meeting each year. Extraordinary general meetings may be called by the Board of Directors, or the Board of Supervisors, or upon request of one-fifth (1/5) of the voting membership of the society. After forming a corporation, extraordinary general meetings may be called upon request of one-tenth (1/10) of the voting membership of the society.
Section 15.
With respect to any member meeting, proxy voting shall be permitted. Any member may appoint a proxy at a meeting in his/her absence and a proxy form is required.
Section 16.
Valid decisions of annual member meetings shall require more than half of the members are present.
The following decisions shall be adopted upon at least a two-thirds (2/3) majority vote of the members present.
  1. Creation and amendment to the bylaws
  2. Removal of membership
  3. Recall of Directors and Supervisors
  4. Asset management policy
  5. Dissolution of the society
  6. Declaration of membership rights and obligations
After forming a corporation, amendments to the bylaws shall be requested by more than three-fourths (3/4) of the members present or more than two-thirds (2/3) of the members in good standing.
Taiwan Oncology Society may be dissolved at any time upon request of more than two-thirds (2/3) of the members in good standing.
Section 17.
Executive committee meetings shall be held every two months. The Board of Directors shall be held every four months. The Board of Supervisors shall be held every four months. The Board of Directors shall be held in conjunction with the Board of supervisors as needed. Extraordinary member meetings may be held as needed. The notice of executive committee meetings, the Board of Directors, the Board of Supervisors and the joint
meetings shall be mailed to the members at least seven (7) days prior to the date of the meetings. Valid decisions of the meetings shall require that both a quorum of more than half of the Directors and Supervisors and a majority of the members are present.
Section 18.
Directors shall be present at the Board of Directors and Supervisors shall be present at the Board of Supervisors. An absentee director may not appoint a proxy to attend the Board of Directors. An absentee supervisor may not appoint a proxy to attend the Board of Supervisors. The failure of a Director to attend two (2) consecutive Board of Directors without reasonable justification shall be considered a resignation.

Article 6 Membership Dues

Section 19.
Membership fees
  1. Individual
    1. The initiation fee for an active physician member shall be NT$2,000 and the annual physician membership fee shall be NT$1,000
    2. The initiation fee for an active non-physician member shall be NT$1,000 and the annual non-physician membership fee shall be NT$500
  2. The initiation fee for group membership shall be NT$200 and the annual group membership fee shall be NT$5,000
  3. The initiation fee of individual sponsorship shall be NT$30,000, group sponsorship shall be NT$50,000 and the annual sponsorship membership fee shall be over NT$50,000
  4. The amount of annual membership fee shall be determined by the members at a member meeting
Section 20.
The President and the secretary general shall be responsible for the finance of the society.
Section 21.
Membership shall be considered lapsed and automatically suspended, if the membership fee remains unpaid for two (2) consecutive years. Membership shall be re-consider for reinstatement when the member pays the membership fee.
Section 22.
Membership shall be considered inactive and removed, if the membership fee remains unpaid for three (3) consecutive years. The issue shall be discussed during a member meeting and the final decision will be further reported to the Boards of Directors and the Boards of Supervisors.
Section 23.
The amount of annual membership fees shall be approved by the Board of Supervisors and announced two (2) months prior to the date of member meetings.
Section 24.
In the event of dissolution of the society, any assets and funds shall be given to the Government.

Article 7 Amendments and Adoption of the Bylaws

Section 25.
Amendments to the bylaws shall be proposed by the Board of Directors in annual member meetings.
Section 26.
These bylaws shall be approved by the members at annual member meetings. These bylaws shall be adopted and in force when they have been authorized by Ministry of the Interior. Same as when amendments to these bylaws occur.
